The Office of Chief Counsel is the legal office of the Internal Revenue Service, a federal agency within the United States Department of the Treasury. The Chief Counsel is a presidential appointee confirmed by the Senate and serves as the principal legal adviser to the IRS Commissioner on interpreting, administering and enforcing the federal tax laws. The office prepares legislative proposals, regulations, revenue rulings and other public guidance, coordinates the IRS position in litigation with the Department of Justice, and reviews and coordinates filings in United States Tax Court cases.

Work is split between a National Office in the Washington, D.C. area, which develops tax policy and technical guidance, and field counsel offices that advise IRS employees on specific matters and represent the agency. Divisions include a Criminal Tax division that advises IRS Criminal Investigation on tax crimes, and a General Legal Services component that covers claims, labor and personnel law.
